TERMS & CONDITIONS

  1. Order Confirmation
    All orders placed with Durva International Trading (OPC) Private Limited through email, WhatsApp, website, telephone, or purchase order shall be considered valid and binding only upon written confirmation from the company.
  2. Final & Irrevocable Orders
    Once confirmed, an order shall be treated as final and irrevocable. No cancellation, modification, reduction in quantity, or change in product specifications, packaging, labelling, or delivery schedule shall be accepted under any circumstances.
  3. Right to Accept or Reject Orders
    The company reserves the absolute right to accept or reject any order, either in full or in part, without assigning any reason.
  4. Order Fulfilment Conditions
    All orders are subject to product availability, raw material supply, production capacity, and statutory compliance prevailing at the time of confirmation.
  5. Advance Payment for Bulk & Customized Orders
    For bulk, customized, private-label, or export orders, 100% advance payment is mandatory. Such orders cannot be cancelled or returned once production or procurement has commenced.
  6. Special Requirements
    Any special requirements related to quality, packing, branding, labelling, or delivery must be communicated in writing at the time of order placement. Requests made after order confirmation shall not be binding on the company.
  7. Force Majeure
    The company shall not be liable for any delay or non-fulfilment arising due to circumstances beyond its reasonable control, including but not limited to raw material shortages, transportation issues, government regulations, natural calamities, strikes, or other force majeure events.
  8. Dispatch & Delivery Timelines
    Dispatch timelines are dependent on production schedules, logistics, shipping arrangements, and customs clearance (where applicable). Estimated lead times are indicative only and not guaranteed.
  9. Buyer Responsibility
    The buyer is solely responsible for providing accurate order details, including product specifications, quantity, delivery address, and statutory requirements. The company shall not be liable for losses arising from incorrect information provided by the buyer.
  10. Pricing
    All prices quoted are exclusive of GST, transportation, packing, insurance, and other applicable charges, unless expressly stated otherwise.
    Prices are subject to change without prior notice due to fluctuations in raw material costs, fuel charges, government duties, or taxes.
  11. Payment Terms
    Payment shall be made strictly as per the invoice terms unless otherwise agreed in writing.
    Advance payment is required for all orders unless explicitly agreed otherwise.
  12. Accepted Payment Modes
    Payments may be made via Bank Transfer, UPI, Cheque, or any other mode approved by the company.
  13. Dispatch Hold & Late Payments
    The company reserves the right to withhold dispatch until full payment is received. Late payments may attract interest or penalties as prescribed by the company.
  14. Risk & Insurance
    All goods are dispatched at the buyer’s risk. Transit insurance, if required, shall be arranged by the buyer.
  15. Claims & Complaints
    Any claim relating to quality, quantity, or specifications must be reported within 24 hours of receipt of goods, along with supporting evidence (photos, samples, etc.). Claims reported beyond this period shall not be entertained.
  16. Packing & Handling
    Standard packing shall be provided as per industry norms. Special packing, customized labelling, or branded packaging shall attract additional charges. The company shall not be responsible for damage caused due to improper handling during transit.
  17. Taxes & Compliance
    All applicable taxes, duties, levies, and statutory charges shall be borne by the buyer. The buyer shall provide all necessary documents required for GST, FSSAI, export regulations, or other statutory compliances.
  18. Limitation of Liability
    The company shall not be liable for any indirect, consequential, or special damages arising from the use or misuse of its products. The buyer is responsible for proper usage, storage, and handling of the products.
  19. Governing Law & Jurisdiction
    All transactions shall be governed by the laws of India. Any disputes arising out of or in connection with these terms shall be subject to Mumbai jurisdiction only.
